The Corporate Governance Advisor works closely with the Executive Office and serves as the liaison to Board members with respect to Board communication, education and meeting activities.  The Corporate Governance Advisor also provides support to the Chief Legal Officer to ensure effective governance and corporate functioning.  The Corporate Governance Advisor may also be asked to perform research, project work and plan presentations.

Key responsibilities include:

  • Provide a full range of Board functions, including maintaining Board and Committee work plans, preparing agendas, facilitating preparation of meeting materials, managing online Board portal (including uploading meeting materials), attending meetings, providing on-site meeting support, taking minutes and following up on action points.
  • Prepare various communications, reports, and presentations for Board and Committee meetings.
  • Assist with planning orientation and continuing education sessions for Board members and proactively keep abreast of new developments and best practices.
  • Maintain accurate corporate minute books and corporate records (paper and electronic) necessary for corporate governance and governmental, regulatory, and accreditation compliance.
  • Assist in coordinating communications with Board members between meetings and ensure all Board Member inquiries and requests for information are addressed in a timely, professional manner.
  • Manage all Board and Committee meeting logistics and ensure all meetings are run in accordance with prevailing rules and protocol.
Minimum Qualifications

Education: Bachelor’s degree in a finance related field, business management or years equqivalent experience.  Masters degree in finance related field or business management preferred. JD preferred.

Experience: Three years of legal, governance or business experience is preferred.  Previous experience working with a board of directors preferred.  Strong Microsoft Office skills required.

  • Collaborative partner with strong interpersonal skills and ability to work effectively with a diverse cross-section of people, including Board Members, senior executives, attorneys, and staff.
  • Possess polished, positive, and solutions-oriented demeanor.
  • Demonstrate sensitivity in handling confidential information.
  • Strong work ethic and ability to work independently, efficiently, and produce work of the highest quality.
  • Effective written and oral communication skills.
  • Proficiency in Microsoft Office (Word, Excel, Outlook, PowerPoint).
  • Experience with online Board portal platforms a plus.
